Welcome to ORA PAY. Please read these Terms of Service (“Terms”, “Agreement”) carefully before activating your merchant account or integrating our API infrastructure. By accessing or using our services, you (“Merchant”, “User”) agree to be bound by this legally binding agreement.
1. Acceptance & Scope of Service
ORA PAY operates as a private merchant processing architecture designed to facilitate safe digital sales routing, localized transaction pre-verification, and secure settlement services for digital creators, SaaS providers, streaming nodes, and digital agencies.
By applying for an account, you affirm that you are at least 18 years of age and possess the legal authority to enter into this commercial contract.
2. Onboarding, Verification & Fees
To unlock access to ORA PAY, the Merchant must fulfill the following structural requirements:

Identification: Submission of a clear, valid International Passport or National Identification Card.

Onboarding Activation Fee: A one-time setup and infrastructure deployment fee of $99 USD must be successfully cleared.

Non-Refundability: The $99 setup fee is strictly non-refundable under any circumstances once the verification process begins, regardless of whether the account is ultimately approved, restricted, or terminated.

Settlement Fees: ORA PAY retains a flat 12.89% processing fee deducted automatically at the moment of fund settlement/withdrawal.
3. Smart-Flow & Friendly Fraud Prevention
To protect the ecosystem and maintain payment gateway integrity:

Our system mandates a pre-checkout digital contract signature and logs transaction metadata (including but not limited to: IP address, device fingerprints, and localized network signatures).

The Merchant explicitly authorizes ORA PAY to compile and submit this data automatically as binding merchant evidence to upstream payment networks (e.g., PayPal) in the event of an unauthorized transaction dispute or friendly fraud claim.
4. Acceptable Use & Prohibited Activities
The Merchant agrees to utilize ORA PAY strictly for lawful digital commerce. You are explicitly prohibited from processing payments for:

Fraudulent, deceptive, or malicious digital goods.

Phishing tools, malware, or compromised hardware access.

Any digital assets that violate global copyright, trademark, or intellectual property regulations without explicit legal distribution rights.
ORA PAY reserves the ultimate, unconditional right to audit merchant transaction logs at any time to ensure strict compliance with these metrics.
5. Settlement and Payout Protocols

Cleared merchant volumes are held and released based on the operational tier assigned during manual review.

Payouts are routed exclusively to the verified PayPal node or the verified Crypto USDT (TRC20) address provided inside the merchant portal.

The Merchant assumes full, solitary legal responsibility for inputting the correct payout network address. ORA PAY is not liable for capital lost due to mismatched TRON (TRC20) network destinations or restricted external PayPal accounts.
6. Account Limitation and Termination
ORA PAY reserves the absolute right to suspend, restrict, or completely terminate any merchant profile, API access tokens, or pending settlements, without prior notice, if:

The Merchant breaches any provision of this Agreement.

The Merchant exhibits an uncharacteristic, high-risk spike in transactional dispute velocity.

Upstream financial partners order an institutional merchant block on the processing node.
7. Limitation of Liability & Indemnification

As-Is Basis: ORA PAY is provided on an “as-is” and “as-available” structural basis. We make no guarantees regarding uninterrupted system uptime during upstream third-party network updates.

Indemnification: The Merchant agrees to indemnify, defend, and hold harmless ORA PAY, its operators, and affiliates from any claims, losses, chargeback fines, institutional legal assessments, or damages arising out of the Merchant’s operational digital activities.
8. Governing Law & Amendments
This Agreement shall be governed by and construed in accordance with standard international digital commercial frameworks. ORA PAY reserves the right to modify or adjust these Terms at any time. Continued deployment of our API following updates constitutes automatic acceptance of the revised Terms.
